Terms of service
Last updated: [date]
These terms govern your use of Quota (the “Service”): the website, the token launch tools, the AI credit tokens and the AI API. By using the Service you agree to these terms. If you do not agree, do not use the Service.
1. What the Service is
The Service provides software that lets anyone create tokens on the Solana blockchain, interfaces to trade them, an automated process that converts a share of trading fees into AI credit tokens distributed to holders, and an API that accepts burned credits as prepayment for access to third-party AI models.
The Service is a software interface. We do not take custody of your wallet, your private keys or your tokens. Every transaction is signed by you in your own wallet and executed by public smart contracts on Solana.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. You may not use the Service if you are located in, or a resident of, a jurisdiction where its use is prohibited, or if you are subject to sanctions. You are responsible for complying with the laws that apply to you.
3. No investment advice; no offer of securities
- Nothing on the Service is investment, financial, legal or tax advice, or a recommendation to buy, sell or hold any token.
- Tokens launched with the Service are created by independent users. We do not endorse, vet or guarantee any token, its creator, its description or its links.
- We make no claim that any token is, or is not, a security or other regulated instrument in any jurisdiction, and nothing on the Service is an offer or solicitation to sell securities.
- AI credit tokens are prepaid access to an API service. They are not a currency, a deposit, or a claim on any asset, and carry no right to profits.
4. Risks you accept
- Token prices are extremely volatile. You can lose everything you spend. Most tokens lose most or all of their value.
- Fee-funded credit airdrops depend on trading volume and may be small, delayed, or stop entirely. Past airdrops do not predict future ones.
- Smart contracts, wallets, RPC providers and blockchains can fail, be exploited, or behave unexpectedly. Transactions are irreversible.
- Burning credit tokens is permanent. Burned credits become API balance and cannot be converted back into tokens or money.
- Third-party AI providers can change models, prices or availability, or refuse requests, at any time.
- Regulation of crypto assets and AI services is evolving and could restrict or end the Service in your jurisdiction.
5. Fees
Each launched token charges a trading fee set by its tier. Part of the fee buys back and burns the platform token, and the rest funds AI credits for holders. Creators do not receive trading fees. You also pay Solana network fees. API usage is charged from your AI balance at the published model prices, which include a markup.
6. Launching tokens
If you launch a token you are solely responsible for its name, symbol, image, description and links, and for any statements you make about it. Do not use names, logos or trademarks you do not own, and do not imply affiliation with any company (including AI model providers). We may hide any token from the website at our discretion; we cannot alter or remove it from the blockchain.
7. API keys and acceptable use
- Keep your API keys secret. Anyone with a key can spend your balance. You are responsible for all usage under your keys.
- You must comply with the usage policies of the underlying model providers. Do not use the API for illegal content, abuse, malware, or attempts to circumvent safety systems or billing.
- We may rate limit, suspend or revoke keys and sessions to protect the Service or comply with law.
8. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI outputs may be inaccurate or offensive; do not rely on them without verification.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, tokens, data or goodwill. Our total liability for any claim is limited to the greater of the API fees you paid us in the 3 months before the claim or USD 100.
10. Changes and termination
We may change these terms or the Service at any time. Material changes will be posted on this page with a new date. We may stop operating the Service; on-chain tokens will continue to exist independently of it.
11. Governing law
These terms are governed by the laws of [jurisdiction]. Disputes will be resolved in the courts of [venue], unless applicable law requires otherwise.
